Terms of Service

These Terms of Service govern access to and use of PoddinPay, including secure payment links, protected transactions, seller payouts, dispute handling, and related services offered through the PoddinPay platform.

1. Acceptance of these terms

By accessing or using PoddinPay, you agree to be bound by these Terms of Service. If you do not agree, you should not use the platform.

If you use PoddinPay on behalf of a business, you represent that you are authorized to bind that business to these terms.

2. What PoddinPay provides

PoddinPay provides protected payment infrastructure designed to help buyers and sellers complete social commerce transactions more safely. PoddinPay may create secure payment links, hold funds pending delivery confirmation, support payout to sellers, and facilitate issue resolution when disputes arise.

PoddinPay is not the seller of goods, not the buyer of goods, and not a logistics provider. Buyers and sellers remain responsible for the underlying transaction, item quality, shipment, and compliance with applicable law.

3. Eligibility and account responsibility

Users must provide accurate and complete information when using PoddinPay. Sellers are responsible for ensuring that bank details, item details, pricing, delivery timelines, and contact information submitted through the platform are correct.

Users are responsible for maintaining the security of their devices, OTP codes, and any credentials associated with their activity on PoddinPay.

4. Buyer responsibilities

  • Provide accurate payment and transaction information.
  • Review order details carefully before making payment.
  • Confirm delivery only after receiving and checking the order.
  • Raise disputes honestly and submit accurate supporting information.
  • Refrain from abusive, fraudulent, or manipulative chargeback or dispute behavior.

5. Seller responsibilities

  • Describe goods or services accurately and set clear delivery expectations.
  • Deliver orders as agreed and maintain evidence where necessary.
  • Provide valid bank account details for settlement.
  • Avoid misleading listings, counterfeit items, fake proof of delivery, or unlawful transactions.
  • Respond promptly when PoddinPay requests clarification or evidence during review.

6. Protected payments and payout release

When a buyer pays through a PoddinPay link, the funds may be held until the transaction reaches a release condition. Release conditions may include buyer confirmation of delivery, successful dispute resolution, or another workflow expressly supported by PoddinPay.

Seller payouts are typically initiated after the applicable release condition is met. Processing time may vary depending on partner banking rails, account verification, fraud checks, technical downtime, or compliance review.

7. Delivery confirmation and non-response

Buyers are expected to confirm delivery promptly after receiving the order. If a buyer fails to respond within the required time and the seller provides sufficient evidence of performance or delivery, PoddinPay may release the funds after review.

PoddinPay reserves the right to delay release if there is any indication of fraud, unresolved risk, inconsistent evidence, or an active complaint.

8. Disputes and refunds

If a transaction goes wrong, PoddinPay may review the dispute using order details, timestamps, communications, delivery evidence, payment records, and any supporting information submitted by the parties.

PoddinPay may decide to release funds to the seller, refund the buyer, or request additional information before making a final decision. PoddinPay may also reverse or withhold action where fraud, abuse, policy breach, or legal concerns are identified.

9. Prohibited use

Users must not use PoddinPay for unlawful, deceptive, abusive, or high-risk activity that is not permitted by the platform.

  • Fraud, impersonation, or fake payment claims.
  • Sale of prohibited, illegal, counterfeit, or infringing goods or services.
  • Money laundering, sanction evasion, or other unlawful financial conduct.
  • Submission of false delivery proof, false disputes, or manipulated evidence.
  • Attempts to interfere with platform security, availability, or integrity.

10. Fees and pricing

PoddinPay may charge service fees, transaction fees, or related charges for some services. Where fees apply, they may be displayed on the platform, embedded into pricing flows, or communicated before completion of a transaction.

PoddinPay may update pricing from time to time. Continued use of the platform after an update constitutes acceptance of the revised pricing where permitted by law.

11. Suspension, restriction, and termination

PoddinPay may suspend, restrict, delay, or terminate access to the service where necessary to investigate fraud, enforce these terms, comply with law, reduce risk, protect users, or maintain platform integrity.

We may also delay payouts, reject transactions, or require additional verification where an account, device, or payment pattern appears suspicious.

12. Intellectual property

PoddinPay and its related branding, content, workflows, and software are protected by applicable intellectual property laws. Users may not copy, reverse engineer, distribute, or misuse PoddinPay content or technology except as allowed by law or with written permission.

13. Disclaimers

PoddinPay provides the platform on an as available and as offered basis. While we work to make the service reliable and secure, we do not guarantee uninterrupted availability, error-free operation, or that every dispute outcome will align with a user's expectations.

PoddinPay does not guarantee the behavior, honesty, quality, identity, legality, or performance of any buyer, seller, product, or delivery provider.

14. Limitation of liability

To the maximum extent permitted by law, PoddinPay is not liable for indirect, incidental, special, consequential, or punitive losses arising from use of the platform, failed delivery, business interruption, third-party conduct, or unauthorized access outside PoddinPay's reasonable control.

Where liability cannot be excluded, PoddinPay's aggregate liability shall be limited to the direct amount of fees paid to PoddinPay for the affected transaction or service, subject to applicable law.

15. Changes to the service or terms

We may update these Terms of Service, modify features, suspend workflows, or introduce new operational rules as the platform evolves. Updated terms become effective when posted unless a different effective date is stated.

16. Governing law and contact

These terms are governed by the laws applicable to PoddinPay's operations in Nigeria, unless a different mandatory legal standard applies. Questions about these terms or the platform may be directed to PoddinPay through our official support channels.
